Randy Proulx spent over 15 years in the business law group of Blake, Cassels, & Graydon LLP in Ottawa, Ontario. In January 2013, Randy formed his own law firm with Gary Jessop, who was also with Blake, Cassels, & Graydon LLP, to benefit from greater flexibility with respect to serving clients and providing legal services.
Randy works with clients of all sizes ranging from individual entrepreneurs to financial institutions, pension funds and public companies. Randy works with commercial agreements of all kinds and has experience in transactional work of all kinds. Randy assists his clients from the incorporation stage to the sale of a business and all of the day-to-day corporate and commercial matters in between.

On the corporate/commercial side, Randy regularly acts for investors, underwriters and issuers in connection with equity financings, acts for lenders and borrowers in connection with secured and unsecured debt financings and acts for purchasers and vendors in connection with acquisitions and dispositions of shares and assets.
On the pension fund investment side, Randy acts for a number of pension funds in connection with investment management agreements, asset/property management agreements, various service agreements, private equity, infrastructure, real estate, hedge fund and other types of investments by pension funds.
On the banking side, Randy acts for financial institutions with respect to various types of services agreements, secured loans and credit card matters, including affinity and co-brand agreements.
